具体工作量以《常年法律顾问工作量暨顾问费用方案》（附件一）为准，超出约定工作量的部分服务需求，双方应填制《工作量确认表》（附件二）并按照工作量分次核算。
Legal work amount shall be subjected to Legal Counseling Fee and Service Amount Scheme(AnnexI). For extra legal service beyond the Scheme, Legal Service Confirmation Sheet (Annex II) should be madefor separate settlement.
2. 关于费用的其他约定：
Other Terms about Fee:
（1）乙方对甲方诉讼仲裁事务与专项法律顾问工作另行收费，具体委托和收费事宜由双方另行签订专项事务委托合同。
For litigation and arbitration affairs andspecial legal services, Party B shall ge separately. Details about entrustmentand fee will be stipulated by special agency contract signed by both parties.
（2）发生人民法院、仲裁机构、行政机关收取的诉讼费、仲裁费、鉴定费、行政许可费等费用由甲方自行承担支付。
The court cost, arbitration fee, appraisalfee, administrative license fee and other fees ged by people’s court, arbitrationinstitutions and administrative organs shall be paid by Party A.
（3）若需乙方异地出差，则乙方全部外地差旅食宿费用（由甲方事先核定确认）均由甲方承担，甲方于收到乙方相关票据之日起五（5）个工作日内按实报实销原则向乙方支付。
If business trip is necessary, all thetransportation and accommodation costs of Party B concerning the trip(confirmedby Party A in advance) shall be borne by Party A. Party A shall make payment toParty B within five(5) working days upon the receipt of related vouchers fromParty B for reimbursement.
（4）甲方在乙方没有特殊书面指令的情况下，应当将本协议约定的顾问费汇入乙方下述银行账号：

七、乙方代理甲方参加重大项目谈判、诉讼、非诉讼交涉、调解或者仲裁活动等属于专项事务的，应另订委托合同，乙方可酌情减低收费，金额由双方协商确定。参与诉讼或仲裁活动的，经双方同意乙方亦可采取风险代理制，即按实际收回款项额或实际减少损失额的X%收取律师费用。
Article 7 Party B’s participation in various major project negotiation,litigation, non-litigation mediation or arbitration activities on behalf ofParty A belongs to special legal affairs, which should be stipulated separatelyby special agency contract. Party B may ge lower fee for the special agencywith the final amount determined by both parties. Party B could also undertakerisk agency to participate in litigation or arbitration if agreed by bothparties, then X% of recovery money or actual reduced loss shall be collectedas agency fee.
八、本合同为常年合同，自合本同签订之日起生效。任何一方如需解除本合同的，应提前一个月书面通知另一方，经双方协商一致并书面确认，本合同即告终止，否则视为自然延续。
Article 8 Thisis a perennial contract which comes into effect upon chop and signing. Eitherparty intending to terminate this contract shall notify the other party inwritten form at least one month in advance, then this contract shall beterminated by consensus and written confirmation of both parties, otherwise, itshall stay effective.

联系人负责转达各方对对方的请示或者要求，转交各种通知、文件和资料，办理各项事务性工作，各方更换联系人时应当及时通知对方。
Designated contact personnel are responsible toconvey the instructions and requests of each party, deliver all sorts ofnotices, documents and materials and handle routine work. Either party ingits contact personnel shall promptly notify the other party.
十、通知和送达
Article 10 Notice and Service
甲乙双方因履行本合同而相互发出或者提供的所有通知、文件、资料，均以签署页所列明的地址、传真送达，一方如果迁址或者变更传真、电话的，应当书面通知对方。
The notices, documents and materials issued orprovided by each party for performing this contract shall be faxed or deliveredto the address specified on the signature page. Either party ing itsspecified address, fax or telephone number shall promptly notify the otherparty in writing.
通过传真方式的，在发出传真时视为送达；以邮寄方式的，投邮当日视为送达。
The faxand mail are considered served when sent out.
十一、本合同一式二份，双方各执一份，同具法律效力。
