根据《中华人民共和国民法典》及相关规定，经甲、乙双方认真友好协商，双方本着自愿、平等、公平、信用、互利互惠的原则达成共识，为明确双方的权利和义务关系。现就甲方向乙方出让进口铁矿代理事项，特订立如下代理合同：
一、合作方式和期限
1.甲方向乙方保证十万吨钴矿石进口海关报关指标，供乙方向缅甸进口钴矿石使用，甲方每吨进口指标向乙方收取________元的手续费。合同总价款为__________万元。
2.合作方式委托代理，甲方与细甸第一特区政府合作开采铁矿石，委托乙方办理境外通关事宜及境内报关报检手续，首批为一万吨，可以分次入境。
3.期限自本协议签字之日起至十万吨钴矿报关运输完止，如甲、乙双方合作愉快，可继续合作，但需另行签字代理协议。
二、甲方的权利和义务
1.甲方拥有进口铁矿石的所有权及独立的开采权、销售权。
2.甲方负责协调细甸第一特区的关系，同意由乙方指定且经甲方认可的细甸国合法经济实体为出口方。
3.货物到达口岸海关监督货场后，甲方应及时通知乙方报关报检。
4.报关报检所有产生的一切费用由甲方承担。
5·依据海关和商务部门完善通关手续后放行的数量，向乙方支付60元/吨的代理费权利。
三、乙方的权利和义务
1.负责办理细甸政府同意向中国境内出口铁矿石的缅甸政府批文中国政府进口手续，保证甲方铁矿石进口。
2.铁矿石进口后，负责中国海关腾冲口岸得报关报检等手续。保证甲方进口数量手续。
3.乙方在完成上述义务后，享有双方约定得60元/吨的理费的权利。
四、结算方式：先出让一万吨指标，出让手续费为60万元整。签约后付清。
五、甲、乙双方任何一方不得向第三方泄露本合同的内容，否则，应承担因泄露给另一方造成的经济损失，并承担违约金。
六、违约责任：任何一方违约，均需按合同总价的30%偿付违约金_______万元。
七、本合同一经订立，即产生法律效力。合同履行中如发生争议，双方友好协商解决。若未达成共识，任何一方均可向中国有管辖权的签约地人民法院提起诉讼。

货物应具有防潮、防锈蚀、防震并适合于远洋运输的包装，由于货物包装不良而造成的货物残损、灭失应由卖方负责。卖方应在每个包装箱上用不褪色的颜色标明尺码、包装箱号码、毛重、净重及“此端向上”、“防潮”、“小心轻放”等标记。
The packing of the goods shall be preventive from dampness， rust， moisture， erosion and shock， and shall be suitable for ocean transportation/ multiple transportation. The Seller shall be liable for any damage and loss of the goods attributable to the inadequate or improper packing. The measurement， gross weight， net weight and the cautions such as “Do not stack up side down”， “Keep away from moisture”， “Handle with care” shall be stenciled on the surface of each package with fadeless pigment.
